SEC Proposed Rule: Mandated Edgar Filing for Foreign Issuers

CSA staff note that the United States Securities and Exchange Commission (the "SEC") has published for comment proposed amendments to Regulation S-T, the rules that govern the SEC's Electronic Data Gathering, Analysis and Retrieval ("EDGAR") system. The proposed amendments would require foreign private issuers and foreign governments to file electronically through the EDGAR system their securities documents, including registration statements under the Securities Act of 1933 and registration statements, reports and other documents under the Securities Exchange Act of 1934. The documents would be filed in HTML or ASCII format. The proposed amendments are set out in SEC Release Nos. 33-8016, 34-44868, International Series Release No. 1250, dated September 28, 2001, available on the SEC website at www.sec.gov. The 60 day comment period ends on December 3, 2001. The release states that the amendments would become effective for filings made four months after the date of adoption of the amendments. Canadian market participants are encouraged to review the SEC's release and may wish to provide comments to the SEC.

This notice will expire on December 3, 2001.
