Implementing MI 61-101 Protection of Minority Shareholders in Special Transactions

Rule 61-501

1.1         Rule 61-501 Insider Bids, Issuer Bids, Business Combinations and Related Party Transactions is revoked.

Rule 71-802

1.2         Section 2.4 of Rule 71-802 Implementing National Instrument 71-102 Continuous Disclosure and Other Exemptions Relating to Foreign Issuers is amended by:

      1. replacing the title “Going Private Transactions and Related Party Transactions” with the title “Business Combinations and Related Party Transactions”, and
      2. replacing the words “Rule 61-501 Insider Bids, Issuer Bids, Going Private Transactions and Related Party Transactions” with “MI 61-101 Protection of Minority Security Holders in Special Transactions”.

Effective Date

1.3         This rule comes into force on February 1, 2008.
