Moratorium extended for overdue outside activity filings
The Ontario Securities Commission (OSC) is extending its moratorium on fees related to overdue outside activity (OA) filings until June 6, 2022. Registrants must still disclose OA information, but no fees will be charged for overdue filings while the moratorium is in effect.
The time-limited moratorium coincides with the effective date of amendments to registration information intended to, among other things, clarify the regulatory requirements for disclosing OAs.
The OSC previously made amendments to its fee rules so that registrants would not be required to pay fees for overdue filings from January 1, 2019 to December 31, 2021.
Until June 6, 2022, under Ontario securities law, individual registrants are required to file OA disclosure within 10 days of a new OA or a change to an existing OA. After June 6, 2022, pursuant to the amended regulations, registrant will be required to file OA disclosure within 30 days.
